1. Acceptance of Terms

By accessing or using the KiwisIoT platform ("Service") operated by Kiwistron ("we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access or use our Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

2. Description of Service

KiwisIoT is a cloud-based IoT platform that enables users to:

Create and manage IoT control panels and dashboards
Connect, monitor, and control IoT devices in real-time
Visualize device data through customizable widgets and charts
Manage device configurations and settings
Access device data through web and mobile interfaces
Share dashboards with authorized users

3. User Accounts

3.1 Registration

To use certain features of our Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason we deem necessary to protect our Service and users.

4. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws, regulations, or third-party rights
Transmit any malicious code, viruses, or harmful software
Attempt to gain unauthorized access to our systems
Interfere with or disrupt the Service or servers
Use the Service for any illegal or unauthorized purpose
Collect or harvest information about other users
Impersonate any person or entity
Use automated systems to access the Service without authorization

5. IoT Device Responsibility

As a user of our IoT platform, you acknowledge and agree that:

  • You are solely responsible for the devices you connect to our platform
  • You must ensure your devices comply with all applicable laws and regulations
  • You are responsible for securing your devices and network connections
  • We are not liable for any damage, loss, or injury resulting from your use of connected devices
  • You must obtain necessary permissions and licenses for device operation
  • You are responsible for maintaining backups of your device configurations

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by Kiwistron and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Content

You retain ownership of any data, configurations, and content you create or upload to the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process Your Content solely for the purpose of providing the Service to you.

7. Subscription and Payment

7.1 Subscription Plans

We offer various subscription plans with different features and usage limits. Subscription fees are billed in advance on a monthly or annual basis, as selected by you.

7.2 Payment Terms

You agree to pay all fees associated with your subscription. Fees are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to change our pricing with 30 days' notice.

7.3 Free Trial

We may offer free trial periods. If you do not cancel before the trial ends, you will be automatically charged for the subscription plan you selected.

8. Service Availability

We strive to maintain high availability of our Service but do not guarantee uninterrupted access. The Service may be unavailable due to:

  • Scheduled maintenance and updates
  • Technical issues or failures
  • Force majeure events
  • Actions by third-party service providers

We are not liable for any loss or damage resulting from Service unavailability.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT RESPONSIBLE FOR ANY LOSS OR DAMAGE TO YOUR DEVICES, DATA, OR SYSTEMS

11. Indemnification

You agree to indemnify, defend, and hold harmless Kiwistron and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your use of connected IoT devices

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any breach of these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • You may request export of your data within 30 days
  • We may delete your account and data after the retention period

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the appropriate courts.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
